MEMORANDUM OF SOCIETY
OF
MEXSA SOCIETY

 

I)         The name of the Society is MEXSA SOCIETY.
  1. II) The registered office of the Society shall be situated at House-11, Road-05, Basati Housing, Borobag, Mirpur-2, Dhaka and may be changed from time to time at anywhere in Bangladesh.

(1)        Nature of the Society: It is a non-profitable, non-government, non-political, voluntary and charitable organization.

(2)        Area of operation: The area of operation of the Society shall be whole of Bangladesh.

(3)        Fundamental principle of the organization: Humanity, Neutrality, Impartiality, Philanthropic Work, Humanitarian Assistance, Youth Development, Leadership Development, Social Welfare, Research.

  • Objects of the Society: The objects for which the society is established are all or any of the following “all the objects mentioned here under will be implemented after obtaining necessary permission from the government/ concerned authority or competent authority and the objects contrary to the provision of section 20 of the societies registration act shall be treated as ineffective.
  1. To create a platform for the alumni of Military Collegiate School Khulna (MCSK), who will hold the values, morals and principles of Father of the Nation “Bangabandhu Sheikh Mujibur Rahman” and Bangladeshi nationalism in its truest sense to contribute comprehensively towards their community, society and the beloved nation.
  2. To undertake and execute the program of Humanity, Philanthropic Work, Humanitarian Assistance, Youth Development, Leadership Development, Social Welfare, Research.
  3. To provide support and services for social welfare activities and project implementation, monitoring, evaluation and reporting system of different governmental, non-governmental and foreign non-profit organizations.
  4. To promote research, innovation and creativity within and outside the organization in order to achieve socio-economic development.
  5. To provide scholarship to the poor students of school, college, university to inspire their higher education and to help the under privileged people in our society. To maintain liaison with concerned persons, authorities, institutions and international organizations within and outside Bangladesh to implement the same.
  6. To establish temporary health camps at different places within country and carry out different programs like free blood test, blood donation etc.
  7. To undertake and carry on welfare activities on the basis of education, research, knowledge development, capacity building, benevolent, humanitarian and charitable purpose in Bangladesh.
  8. To mobilize youths and carry out different youth skill enhancement activities in order to optimize human resource
  9. To organize conferences, workshops, lectures and setup study groups and initiate training programs for furtherance of the objectives of the organization.
  10. To undertake appropriate communication programs subject to the approval of the authority concerned
  11. To promote, organize and establish branches and offices of the organization anywhere in Bangladesh and abroad wherever considered necessary and to manage & control such branches and offices and to delegate such powers and functions to branches and offices as may be considered necessary for the promotion of the objectives and purposes of the organization.
  12. To do all such other things as are conductive or incidental to the attainment of the above objects such as obtaining grants and donations if necessary with a view to undertaking any not-for-profit venture.

INCOME

  1. IV) The income and property of the Organization whatsoever derived shall be applied solely towards the promotion of the objectives and the purposes of the Organization as set forth in this memorandum and no portion hereof shall be paid or transferred directly or indirectly by way of dividend, bonus, or otherwise howsoever by way of profit to the persons who at any time are or have members of the Organization or to any one of them or to any person claiming through any of them provided that nothing herein contained shall prevent the payment in good faith or remuneration to any staff or officer of the Organization or other person in return for any services actually rendered to the Organization or for any of the objects for which the Organization is established.

Fund Mobilization and Utilization

  1. V) In order to be able to fulfill objectives of the Organization, the Organization will:–
  2. a) Accept donations, cash or kind, from any person, institution, organizations, Societys or companies from home or abroad use the same towards the promotion and maintenance of the objectives of the Organization and create & provide funds to  apply the same as the Organization may deem expedient for the fulfilment of  its objectives, provided that the Organization shall not receive any foreign donation without undergoing the formalities as laid down in the Foreign Donation (Voluntary Activities) Regulations Ordinance (Ordinance No. XLVI of 1978) and the Foreign Contributions (Regulation) Ordinance (Ordinance No. XXXI of 1982) as amended from time to time.
  3. b) Pay out of the funds of the organization or out of any particular part of such funds all expenses incidentals to the formation and management of the organization or of administering any special trust or otherwise carrying out any for the forgoing objects including the payments for the salaries, T.A, D.A, Allowances, Honorarium to persons employed or for related works of the Society.

The Organization Shall

  1. VI) a) Institute, conduct, defend or compromise legal proceedings by or against the organization or its office bearers in respect of matters affecting the organization.
  2. b) Make rules and regulations or by-laws not inconsistent with the law or with the memorandum of the organization for the proper administration of the organization and all its institutions and program.
  3. c) Do all such other lawful acts, matters, deeds and things as are incidental or conductive to the attainment of the objectives.

Dissolution or Winding up

VII)    If, upon the winding up or dissolution of the organization, there shall remain any assets after liquidation of all its debts and liabilities, shall not be paid to or distributed among the members of the organization, the same shall be given or transferred to or applied to some other organization, similar nature to be determined by the 3/5th General Members of the organization.

RULES AND REGULATIONS

OF

MEXSA SOCIETY

 

 

In these rules and regulations, unless the context otherwise requires:

  1. a) The Society means MEXSA SOCIETY
  2. b) MEXSA SOCIETY means MILITARY COLLEGIATE SCHOOL Ex- STUDENTS

ASSOCIATE (MExSA) SOCIETY.

  1. c) President means President of the Executive Committee.
  2. d) Office means the registered office for the time being of the (Society)
  3. e) Government means Government of the People’s Republic of Bangladesh.
  4. f) Member means a member of the Society whose name appears or to be appeared in the register of the members and approved by the concerned authority.
  5. g) Month means English calendar month.
  6. h) Seal means the common seal of the Society.
  7. i) General meeting means a General Meeting of the Society.
  8. j) Ordinary general meeting and extra-ordinary general meeting shall mean the annual general meeting and extra ordinary meeting of the members.
  9. k) Rules mean any rules, regulations, by-laws and procedures framed by general members for the proper function of the Society.
  10. l) Proxy means an attorney duly constituted or appointed under an instrument of proxy, power of attorney or other authority in writings.
  11. m) In writing and written include printing or any other modes of representing or reproducing words in visible form.
  1. a) MANAGEMENT
  2. There shall be meetings, activities of all categories of members from time to time in accordance with the provisions laid down in the constitution of MExSA.
  3. There shall be a Governing body called EXECUTIVE BODY.
  • The Executive Body shall have a SIGNATORY BODY consisting of President, Vice President, General Secretary and Deputy General Secretary.
  1. The society may have local bodies termed as WING as its functional unit.
  2. President may create WING with the consent of central EXECUTIVE BODY members and may close the WING with the consent of central EXECUTIVE BODY members.
  3. EXECUTIVE BODY will be located in Dhaka and WING may be located in any Division or countryother than Dhaka.
  1. b) FUNCTIONS OF EXECUTIVE BODY
  2. The EXECUTIVE BODY shall run the society smoothly according to the constitution.
  3. Any decision taken by the EXECUTIVE BODY must be fully respected and obeyed by all the members of the society.
  • The WING BODY shall be guided by the EXECUTIVE BODY. The WING BODY shall help the EXECUTIVE BODY to run the society smoothly.
  1. The society shall not carry out any trade or business or engage in any transaction with a view to monetary gain or profit for any of its members.
  2. No member shall have any personal claim on any property of the society as this is a non-profitable organisation.
  3. EXECUTIVE BODY shall act as a liaison between MCSK authority and MExSA members.

                                                            SINGULARITY

  1. MExSA is the only Ex Students society of MCSK. No other society can be formed under this name.

WINGS

  1. If there are more than 50 Ex Students of MCSK in any geographical location and if they are willing to open a wing of MExSA. Then they are permitted to open a wing in accordance with the constitution. There shall be only one wing in a specific geographical location.
  2. All the members of the Wing must be a registered General Member of MExSA
  3. The Wing must be opened with the consent of the President.
  • The Wing along with its members shall be subjected to the central EB
  1. President of MExSA will have full control over the activities of the Wing. He/She can abolish the Wing along with the consent of EB. In that case EB of that respective Wing will have the right to appeal to the central EB.
  2. Once the Wing is abolished the central EB has to report it to the concerned Registrar/Ministry within 30 days.

N.B: Members of the Wing Body can increase or decrease the members of Wing Body with the consent of central EB

  1. MEMBERSHIP

The membership of the society shall consist of:

GENERAL MEMBER

  1. Any ex-students of MCSK shall be entitled to become registered member of MExSA upon completion of the registration form prescribed by EXECUTIVE BODY and after payment of the membership fees.

To become a registered member an ex-student should satisfy the following conditions:

  1. He/She must have to pass at least 2 years in MCSK.
  2. He/She should not have been withdrawn from MCSK on disciplinary ground.
  • On special cases, if an ex-student hasn’t completed 2 years in MCSK but are very well connected with its members, may apply for the membership with a special application. But the Executive Body holds the sole right for the decision making of his/her membership.

ASSOCIATE MEMBER:

  1. GOC, 55 Infantry Division, Jessore Cantonment (by designation), Principal, Vice-Principal and Adjutant of Military Collegiate School Khulna- MCSK (by designation), two senior faculty members of MCSK (nominated by Principal, MCSK), one guardian representative (nominated by Principal, MCSK) are entitled to be the Associate Members. The associate members can donate any amount but are not subjected to subscription fee.And they may recommend or put their opinion for organizational activities but must not have any right to vote or take decision for the society.

HONARARY/LIFETIME MEMBER

  1. Any person may be honoured with the honorary membership if he/she helps and contributes in the development of MExSA. Honorary membership shall be decided by the EB and with prior concurrence of the person concerned.Honorarymember will not have to pay any membership fees.

 

ADVISORY BODY MEMBERS

  1. Any person who have served as an EB member in any of the previous tenure & has no intention of running for the EB again, may be eligible for becoming an advisory body member. In any tenure this advisory body member should be limited in between 3-5 persons&cannot be changed in between. The initially selected advisory body members may also continue till he/she dies. There is no tenure limit for them. But however, if majority of the EB or GM feels like changing one or more advisory body member, then this issue must be raised during reunion where 2/3rd of the general members has to accept the changes.

The role of this committee is to act like the guardians to the society. Neither they will have any voting right nor will they intervene the decisions of the EBs. They must monitor & maintain the harmony of the society. But at any point if majority of the general members raises doubt against any of the actions by the EBs or even against any EB member, this committee will become active& will uphold the upmost power. And at this point only they have the right to expel any of the EBs or change the decisions taken by the EBs upon validating the situation. And they must maintain the neutrality & the decision must be taken for the greater benefit of MExSA not any individual.

 

LIFETIME MEMBER

 

  1. Any person who will be interested in the activities of the Society and not hindered by law or the constitution of the Society may be enrolled as life member on payment of a donation of taka 5, 00,000/= (BDT Five Lakh Only) with/without voting right.

 

Remarks:         Spouse and children of General Members, Associate Members or Honorary Members shall be entitled to enjoy certain facilities of the society decided by the EB.

  1. Any member who has not paid his /her subscription for three consecutive calendar years shall loose his/her membership of the society. He/She shall be informed by the EXECUTIVE BODY on cessation of membership. He/She shall have to pay the registration fees again for re-enrolment including penalty fee.

EXPULSION OF MEMBERSHIP:

  1. The President after discussing with the EB shall expel any member who violates the constitution in any form. If any member is expelled due to violation of any rule in the constitution, and if that specific rule is later changed in favour of the member, even then his/her expulsion cannot be revoked. Followings are the specific reasons of expulsion of membership.
  2. The President shall have the right to expel a member if a member is convicted of any crime by the criminal court.
  3. The President shall have the right to expel a member if a member is found guilty of sexual harassment.
  • The President with consent of EB shall have the right to expel a member for violating rules and regulations of the society.
  1. The President with consent of EB shall have the right to expel a member if it is proved that he/she is involved in any act that seriously demeans the values the society holds.
  2. The President with consent of EB shall have the right to expel a member if it is proved that he/she is guilty of intimidating, threatening, eve teasing or defrauding any other member.
  3. The President with consent of EB shall have the right to expel a member if it is proved that he/she has done something to ill fame MCSK or MEXSA or both.
  • The President with consent of EB shall have the right to expel a member if it is proved that he/she is promoting politics or creating religious, cast, gender, colour discrimination among other members of the society.

An expelled member may put an appeal to the EB for reconsideration of his/her case. If any member is expelled due to violation of any rule in the constitution which is proven, in that case he/she will not be able to appeal

RESPONSIBILITY OF THE GENERAL MEMBERS

  1. It should be obligatory on members to contribute their best towards the aims and activities of the society and assisting the EB in promoting this aims and activities.

RIGHTS AND PRIVILEGES

  1. All the members of the society shall be subject to this constitution and enjoy all the facilities of the society.

MEMBERSHIP FEES:

  1. An ex student who desires to become a member of MExSA, shall have to pay a membership fee to be a registered general member. The membership fee will be as follows:
  2. Ex-students from immediate passed out batch will have to pay BDT 1000 only. The immediate batch will enjoy the liberty of registering himself/herself with the fee stated above for only one (01) year effective from the date of passing out from MCSK.
  3. Any ex-student other than immediate passed out batch will have to pay BDT 5000 only.

A registered general member shall pay an annual membership fee.

  1. A member who is a student shall have to pay BDT 500 only annually.
  2. A member who is a professional shall have to pay BDT 1,200 only annually.

A registered general member shall be considered as student up to 5 years after passing out of college. A registered general member shall be considered as professional after 5 years after passing out of college. The fees are payable to the EB in the form of cash/ Pay Order/ Bank Draft/ Cheque/ Postal Order addressed to MExSA account. All members will enjoy the freedom of paying the annual membership fee annually as per their convenience. However, anyone failing to pay the annual fee by 31st December of any year will be subjected to a penalty of BDT 100 for every month delay from the date mentioned above.

FUNCTIONS

  1. The Executive Body shall be functional in terms of:
  1. There shall be one central EB. The management of the affairs of the society shall be vested directly to the elected EB.
  2. The Executive Body shall have the sole management of the administration, activities, income, funds and properties of the society.
  • The EB shall have the right to take any necessary action as per the constitution.

 

 

SIGNATORY BODY

  1. President, Vice President, General Secretary and Deputy General Secretary altogether shall be called the Supreme Body.

SECRETARY 

 

  1. The number of secretaries can be increased or decreased by the consent of the Executive Body. Deputy Secretary may be appointed under any Secretary if required by the consent of majority of the Executive Body members.

 

BATCH REPRESENTATIVES

  1. There will be 2 Batch Representatives from each batch. They shall work as a bridge between the EB and their respective batches.

QUALIFICATION OF EXECUTIVE BODY

  1. An ex-student of Military Collegiate School Khulna who is registered General Member shall be eligible to contest for a single post of EB. No member shall hold more than one post at a time. The qualifications of the Executive Body will be as follows:

  2. Must be a registered General Member of MExSA for 08 years or more than 08 years
  3. Must have served as a Secretary for at least 1 (one) tenure (approximately 4 years)

  1. ELECTION

 

BATCH REPRESENTATIVE ELECTION

  1. 02 (two) Batch Representatives shall be elected from each batch by open and direct voting of the members of that respective batch. Voting must be conducted in presence of EB and in presence of more than 25% of the students of that batch. The tenure of each Batch Representatives shall be four (04) years. If any batch representative resigns, the EB can also select a batch representative after discussion among all the EBs & students of that batch.

SIGNATORY BODY ELECTION

  1. The rules for electing Signatory body (SB) will be as follows:
  1. SB shall be directly elected after every 4 years in the Reunion by secret ballot voting of all the Registered General Members present.
  2. The election must be conducted in the last day of the reunion.
  • An individual can run for only one (01) position in the signatory body.
  1. A Registered General Member shall have as many votes for each category in the SB as there are posts to be elected.
  2. There will be an Election Committee consisting of one (01) Chief Election Commissioner, two (02) Deputy Election Commissioner and five (05) Polling Officers nominated by the Executive Body and Associate Members of MExSA who will work with absolute neutrality, impartiality, honesty and integrity. The Chief Election Commissioner shall supervise the overall election.
  3. No member of the Election Committee can either run for a position in EB or practice their voting right in that particular election.
  • For any controversy regarding the election the Chief Election Commissioner’s decision shall be the final.

First phase of election:

  1. Interested candidate must buy Nomination paper. The price of the nomination paper will be BDT 5000 only.
  2. Candidates can run campaign for a certain period of time. The duration of campaign must be decided by the Election Committee.
  3. Election Committee holds all the right to cancel nomination of any candidate, found to breach election disciplinary rules spelled out by election committee well ahead of the election.

Second Phase of election:

  1. On the day of the election, every candidate shall have an allocated time slot to present himself/herself in front of the General Members. The time slot for each candidate shall be 10 minutes including Q/A session.

Third Phase of election:

  1. Registered General Member will cast vote using secret ballot.

Result:

  1. The results will be published by the Chief Election Commissioner on the last day of Reunion.
  2. Candidates receiving highest number of votes in category for President, Vice President, General Secretary and Deputy General Secretary shall be the elected as the President, Vice President, General Secretary and Deputy General Secretary of MExSA.

SECRETARY SELECTION

  1. Selection of the secretaries will be as followings:
  1. During the reunion every interested candidate must buy a nomination form with BDT 1000 & fill out an application stating his/her interest for secretariats.
  2. After the SIGNATORY BODY election in the Reunion is completed, the SB will select Secretary within next one (01) month of the election.
  • The candidate for Secretary much meet qualifications as stated in the section 4(f) of the constitution
  1. Interested candidates shall send their applications to the SB.
  2. One individual shall run for a single post of Secretariat.
  3. Candidates may present his/her agenda for a particular secretariat in front of the SB. Face to face interview may also be taken if deemed necessary by the SB.
  • SB will finalize the secretaries for the respective posts based on their performance.

EXECUTIVE BODY TENURE IN OFFICE

  1. The tenure of EB will usually be up to the next reunion (4 years approximately). However,if reunion does not take place in 04 (four) years for any kind of inconvenience, the EB must immediately make all the arrangements for election in a suitable place nominated by the majority of the general members. If any SB member dies/resigns without completing his 4 (four) years tenure, a re-election shall have to be called for that particular post.

TERMINATION OF THE APPOINTMENT

  1. If any of the members of Executive Body fails to attend 60% of the Executive Body Meeting in a single year, his/her appointment shall be terminated. Involvement in any unlawful activities which is legally punishable under the national legal framework will also be the reason of termination of appointment of any EB member.

VOTE OF NO CONFIDENCE

  1. If any member of the Executive Body is unable to perform as per his/her commitment and prescribed duties and responsibilities, 4/5th of EB members vote against that individual shall be accepted as vote of no confidence and will cause termination of his/her appointment from EB. But this situation must be validated by the advisory body members & the final decision will be taken by them.

FUNCTIONS & POWER OF THE OFFICIALS OF THE EXECUTIVE COMMITTEE

  1. The functions and area of supervision of the officials of the executive committee are spelled out below:
  1. PRESIDENT

President is the head of the society and holds supreme power. He shall preside over the meetings of the EB.He is the ceremonial head of the society. He should remain neutral to all decisions. If the house is divided equally he may use his voting power within the framework of the constitution. He shall have the power to nominate officials as per constitution. In emergency situation President can solely take any decision. However he shall be responsible to the EB for his decision. In any controversial issue president can take his decision if he is supported by majority of the EB. To resign from the post of a President he/she shall have to submit a resignation letter to the EB and the resignation will be effective after all the EBsapproves & validated by the advisory body members.

  1. VICE PRESIDENT

In the absence of President the Vice President shall preside over the Annual General Meetings and the meetings of the EB. The Vice President presiding over any such meetings shall have all the rights and privileges of the President. The Vice President along with the Financial Secretary shall maintain the financial matters. But for every financial transaction, a formal approval on official mail or letterhead should be taken from President. The Vice President shall maintain the activities of the General Secretary and report it to the President. To resign from the post of a Vice President he/she shall have to submit a resignation letter to the President and the resignation will be effective after the President’s approval.

  • GENERAL SECRETARY

He is the working head of the Secretariat. He is responsible along with other officials of the EB for smooth running of the society. He shall preside over the EB meetings in the absence of the President and the Vice President. He can call for emergency meetings of the EB within the framework of the constitution. All the office documents of the organisation shall be preserved by the Office Secretary under the supervision of General Secretary. If any post in EB falls vacant for some reason it shall be the duty of the GS to inform it to the President via Vice President. In such case the President shall appoint a replacement from the Batch Representatives to fill in that post till the next election. To resign from the post of General Secretary, he/she shall have to submit a resignation letter to the President. The resignation shall be effective after President’s approval.

  1. DEPUTY GENERAL SECRETARY

The main function of the Deputy General Secretary shall be to assist the General Secretary in all administrative activities of the society. In the absence of the General Secretary he may act as the General Secretary and carry out the necessary works. To resign from the post of Deputy General Secretary he/she shall have to submit a resignation letter to the President and the resignation will be effective after the President’s approval.

  1. SECRETARY

The main function of the Secretary shall be to look after his/her respective affairs (i.e. Cultural, Information and Technology, Event etc.) He/She shall be liable for any events that take place under his supervision. He shall be guided by the supreme body of the EB to carry out any event. If necessary, a secretary can be given with additional tasking which is not directly under his jurisdiction as well. To resign from the post of Secretary he shall have to submit a resignation letter to the President and the resignation will be effective after the President’s approval.

  1. EXECUTIVE MEMBER

The main function of the executive member is to support the supreme body and secretary of different affairs in there endeavours. They are also expected to contribute towards policy and decision making. To resign from the post of Executive Member, he/she shall have to submit a resignation letter to the President and the resignation will be effective after the President’s approval. The EM may extend by resulation as wanted by Signatury body.

  1. MEETINGS

 

  1. Following will be the types and formation of meetings of this Society:

 

EXECUTIVE BODY MEETING

  1. Meeting of the EB shall be held usually in the central office “MEXSA Home” last Friday of every month.
  2. The agenda of meeting shall be sent to each member of the EB at least 3 days before the meeting.
  • An emergency meeting may be called at a notice sent 3 days prior to the meeting.
  1. Any decision of the EB shall require a majority vote of EB members present. A tie would be decided by casting vote of the President.
  2. If the proposal remains still undecided the proposal shall be declared as postponed.
  3. The EB meetings shall be presided over by the President and in his absence the Vice Presidents shall preside. And in their absence the GS shall preside.
  • If case of special need, a general member upon the approval of the General Secretary can join EB Meeting.

ANNUAL GENERAL MEETING:

  1. Annual General Meeting shall be held on last Friday of December of every year.
  2. All Registered General members shall attend the annual general meeting. They will have the right to raise question or put forward any advice. But that will be granted by the votes of EB.
  • Every secretary shall present their activities of the current year and propose how they plan to develop their activities in the coming year.
  1. Annual Financial Report of the society shall be presented in the Annual General Meeting.
  2. The amendable sections of the constitution may be discussed and decided within the framework of this constitution.

RE-UNION

  1. The re-union shall be arranged by the EB in consultation and collaboration with MCSK authority.
  2. This re-union shall be held at MCSK campus.
  • This re-union shall be held every after 4 year approximately
  1. The re-union shall hold business session including presentation of the reports, audit and account, budget, election and installation of the new ED etc.
  2. The re-union may discuss and on any other issue/ items with the permission of the EB.
  3. The amendable sections of the constitution may be discussed and decided within the framework of this constitution.

ADVISORY COMMITTEE

  1. There may be an advisory committee not less than 5 and to be nominated by the executive committee. It shall render advice on any matter referred to it by the general secretary and annual general meeting. The executive body will try to make good use of the suggestions of the advisory committee.

FINANCIAL RULES

  1. Fund of the Society is to be deposited in a scheduled bank.

The fund of the Society is to be raised by the following process:

  1. Membership subscription.
  2. Private donation.
  3. Donation from local and foreign organizations/ societies.
  4. Government grants.
  5. Donation from national welfare organizations.

Expenditure can be made in the following ways:

  1. Operation and development of the Society.
  2. Payment of salaries, T.A., D.A, honorarium and other allowance of the employees or related personnel of the Society.
  3. To implement different programs/projects.
  4. For research, education / training and welfare activities.
  5. Any other work needed for the better interest of the Society.
  6. Donation, grants or help to any social welfare organization.

 

OPERATION OF BANK ACCOUNT

  1. d. The Society will open Bank Accounts(s) with any Schedule Bank(s) and shall be operated the same under the signature of any two amongst the president, general secretary and finance secretary of the Society or as per any other alternate decision taken by the executive body.

SEAL

  1. The President shall provide a common seal for the Society.

 

AUDIT

  1. The President will get the accounts of the organization audited with the help of General Secretary, Finance Affairs Secretary, Event Affairs Secretary and Office Affairs Secretary by any third party preferably an audit firm. Audit report will be submitted and approved in the annual general meeting.

AMENDMENT

  1. The President and General Secretary. if necessary, will be able to propose/ recommend alteration, extension, addition and limitation of any provision of this presents. The same will have to approved in presence of 3/5 presence legal members (Associate Member & General Member) of total legal members in general meeting of the Society and provisions of section 12 of the Societies Registration Act will be applicable in this regard.

DISSOLUTION OF SOCIETY

  1. If upon the winding up or dissolution of the Society there shall remain, after the satisfaction of all its debts and liabilities, any property whatsoever, the same shall be handed over or transfer or given to some other institutions, having objectives similar to the objectives of Society, to be determined by the 3/5 voting of the members of the Society in the extra ordinary general meeting at or before the dissolution.
